These terms govern your use of LAVANIO. Please read them — they cover how the software may be used, how subscriptions and payments work, and the limits of our responsibility.

1. Who you are contracting with

These Terms & Conditions are an agreement between you and LAVANIO ("LAVANIO", "we", "us"), the provider and seller of the LAVANIO financial leak-detection software (the "Service"). LAVANIO is the seller of record for the software licence; payment processing is handled by Paddle as described in section 6.

2. Acceptance of these terms

By creating an account, subscribing to a plan, or continuing to use the Service, you agree to these terms. If you are using the Service on behalf of a company or other organisation, you confirm that you have the authority to bind that organisation to these terms. If you are using it as an individual, you confirm you are of legal age to enter into a contract in your jurisdiction.

3. What the Service does

LAVANIO analyses business data you upload — such as bank and card statements, invoices, receipts, payroll or time reports, supplier invoices, subscription and vehicle or equipment expenses — and highlights potential financial leaks: duplicate spending, over-billing, unused subscriptions, pricing anomalies and other unusual patterns. The Service also produces AI-generated recovery plans and draft outreach messages, and lets you record recovery actions.

4. Your account

You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You agree to provide accurate account information and to keep it up to date. Notify us promptly if you believe your account has been accessed without your authorisation.

5. Acceptable use

You must not misuse the Service. In particular, you must not:
  • use the Service for any unlawful purpose or in breach of applicable law
  • use the Service for fraud, spam, or to upload data you have no right to process
  • infringe the intellectual property or privacy rights of any person
  • interfere with the security or integrity of the Service — including introducing malware, probing or scanning our systems, bypassing access controls, or scraping the Service
  • reverse engineer, decompile, resell, sublicense or redistribute the Service
  • circumvent plan limits, usage quotas or other technical restrictions

6. Payment, subscriptions and taxes

Paid plans are sold as recurring subscriptions and renew automatically at the end of each billing period until cancelled. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, currency, applicable taxes, renewals, cancellations and refund mechanics are governed by Paddle's Buyer Terms at https://www.paddle.com/legal/checkout-buyer-terms, together with our Refund Policy. You can cancel at any time from your account settings or the Paddle customer portal; access to paid features continues until the end of the period you have already paid for.

7. Licence and intellectual property

We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with the plan you have selected. LAVANIO retains all ownership of the Service and its intellectual property, including the software, detection logic, documentation, design and branding. You retain ownership of the data you upload; you grant us a limited licence to host and process that data solely to provide the Service to you.

8. AI-generated output and accuracy

Findings, recovery plans and draft messages are produced from the data you provide using statistical rules and AI models. They may be incomplete or inaccurate and can include false positives. You are responsible for reviewing and verifying any output against your own records before acting on it or sending it to a third party. The Service does not provide financial, accounting, tax or legal advice and is not a substitute for a qualified professional.

9. Service level and warranties

We work to keep the Service available and reliable, but we do not guarantee that it will be uninterrupted, timely, secure or error-free. To the fullest extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, LAVANIO's aggregate liability arising out of or relating to the Service is limited to the fees you paid in the twelve months before the event giving rise to the claim. We are not liable for indirect, consequential or special damages, including loss of profits, revenue, data or goodwill. Nothing in these terms excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law.

11. Your indemnity

You agree to indemnify LAVANIO against claims, losses and reasonable costs arising from the data you upload, your unlawful use of the Service, or your breach of these terms.

12. Suspension and termination

We may suspend or terminate your access if you materially breach these terms, fail to pay amounts due, present a security or fraud risk, or repeatedly or seriously violate our acceptable use rules. You may stop using the Service and delete your data at any time from Settings. When your access ends you may export or delete your data; after a reasonable wind-down period any remaining data is deleted or anonymised.

13. Changes to these terms

We may update these terms to reflect changes to the Service or legal requirements. Material changes will be communicated through the app or by email before they take effect, and continued use after that date constitutes acceptance.

14. Governing law and disputes

These terms are governed by the laws of the jurisdiction in which LAVANIO is established, and the courts of that jurisdiction have exclusive jurisdiction over any dispute, without prejudice to any mandatory consumer protections available to you locally.

15. General

You may not assign these terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control. If any provision is found unenforceable, the remainder stays in effect.
